Terms and Conditions for American Sun Components’ Vendors – AS9120 Supplier Flow-down Requirements

As a vendor for American Sun Components (ASC), you agree to comply with the terms and conditions listed below.

Product Quality and supporting documentation:
The vendor must provide relevant technical data (e.g., specifications, drawings, process requirements, work instructions) with the goods. All products supplied by the vendor must be authentic and have necessary approvals. A Certificate of Conformance must accompany the shipper or its equivalent for content requirements. Failure to comply to this provision grants ASC the right to return the goods or to proceed with any necessary testing to verify conformance at the vendor’s expense.

Insurance:
Do not insure or declare a value for carriage insurance. ASC Carries Its Own Transit/Cargo Insurance (Policy Available Upon Request). Failure To Comply Will Deem Any Resulting Charges For Insurance To Be The Responsibility Of The Shipper.

Packaging:
ASC reserves the right to return or cancel this Purchase Order for any reason. All goods must be provided as new and in original packaging.

Substitutions or partial shipments:
No substitutions or partial shipments will be accepted by ASC without prior approval.

Vendor performance monitoring:
ASC will monitor the vendor’s performance, make periodic assessments and take relevant actions if and when required.

Counterfeit, Suspected unapproved and Unapproved Parts:
If the goods are found to suspect, unapproved or otherwise of questionable pedigree after the testing, inspection and verification process, ASC reserves the right to return or cancel the order or impound such goods without payment to the vendor at discretion of ASC’s management.The vendor must make all reasonable effort to prevent trade in counterfeit or suspect/unapproved parts.

Access for verification/validation:
ASC and its customers reserve the right to perform verification and/or validation activities at the vendor’s premises/facilities.

Employee awareness, ethics and training:
The vendor must educate and make its employees aware about their contribution to product or service conformity, product safety. The vendor must implement the highest standards of ethical behavior. The vendor must ensure that all its employees and representatives are competent and have received adequate training to fulfill their responsibilities.

Confidentiality:
Suppliers shall hold all information received from ASC in confidence and no third-party request for information will be authorized unless approved, in writing, by ASC.

Sub-contracting:
Sub-contracting to sub-tier vendors needs prior approval from ASC. All the aforementioned terms and conditions shall apply to the sub-tier vendors and sub-contractors.

Quality Control and Management:

ASC requires that its vendors:

  • implement a quality management system
  • use customer-designated or approved external providers, including process sources (e.g., special processes)
  • notify the organization of nonconforming processes, products, or services and obtain approval for their disposition
  • prevent the use of suspected unapproved and counterfeit parts
  • notify the organization of changes to processes, products, or services, including changes of their external providers or location of manufacture
  • flow down to external providers applicable requirements including customer requirements
  • retain documented information, including retention periods and disposition requirements
  • validate their standards for counterfeit parts avoidance, detection, migration and disposition
  • conduct reviews of their supply chain risk management considerations to reduce the risk of counterfeit parts entering the supply chain
